These Terms and Conditions (“Terms”) govern your access and use of our website https://www.teejoin.com (the “Website”), all inquiries, quotations, offers, and product-related commercial communications between you (“you”, “Buyer”) and us.
By browsing the Website, submitting an inquiry, requesting quotation via website form or email, you acknowledge you have read, understood and agree to be bound by these Terms together with our Privacy Policy, which is available at https://www.teejoin.com/en/privacy-policy. If you do not accept all these Terms, please do not access our Website or submit inquiries to us.
1.1 “Goods” refers to all IoT hardware and smart device products supplied by TEEJOIN, covering full product lines including but not limited to: smart home IoT series (WiFi IR hubs, smart switches, sensors and supporting accessories), electronic ink screen series (multi-size ESL electronic shelf labels, e-paper modules, digital photo frames, e-readers, base stations and passenger flow statistical devices), smart security series (face/palm recognition devices, turnstile gates, AI thermal cameras, IP cameras and network cameras), automatic vending machines, smart navigation displays, and all other upgraded and newly developed IoT smart hardware products provided by TEEJOIN.
1.2 “Quotation” means written price offer issued by our sales team; each quotation shall specify its valid period.
1.3 “Proforma Invoice (PI)” means official proforma invoice issued by us. Only mutually confirmed PI in writing via email constitutes binding sales contract between Buyer and Seller.
1.4 “OEM / ODM” means custom-made service including custom logo, packaging, firmware or hardware modification based on Buyer’s requirement.
2.1 This Website is purely B2B product display and inquiry platform. We do NOT conclude binding sales contracts directly on-site. All formal sales contracts shall be formed upon mutual written confirmation of Proforma Invoice (PI) by email.
2.2 You warrant that you are a business entity or commercial purchaser holding full legal capacity to enter commercial contracts.
2.3 We reserve the right to revise these Terms at any time. Revised Terms will be published on this page with updated “Last Updated” date. Continued use of Website after revision constitutes your acceptance of updated Terms.
2.4 You shall not perform web-scraping, data-mining, unauthorized copy of product photos, specifications or text content from our Website for commercial use without our prior written consent.
2.5 You agree not to search for, exploit, test or take advantage of any website bugs, security vulnerabilities, logic flaws, form submission loopholes or other defects of the Website for any improper benefit, including but not limited to obtaining unauthorized preferential pricing, fake quotations, false credit, disrupting our business system or claiming compensation through such vulnerabilities. Any such exploitation activity is strictly prohibited. We reserve the right to suspend your access, reject your inquiries and claim compensation for all losses caused by such improper conduct.
2.6 You must not: (a) submit false, inaccurate or misleading information, fake company identity, forged documents or fake contact details when submitting inquiries; (b) send spam, mass unsolicited messages, harassing, threatening, defamatory or discriminatory communications through our website forms or contact channels; (c) upload or transmit malware, virus, malicious script or code that may disrupt our website or server; (d) impersonate TEEJOIN staff, agents, partners or any third-party entity; (e) use our website or information obtained from us for phishing, fraud or any illegal commercial activity; (f) bypass technical access restrictions, reverse-engineer, decompile or attempt to extract our source code, firmware or confidential technical data without written permission; (g) create multiple false identities or submit repeated junk inquiries to disrupt our sales workflow. We reserve the right to block your access, ignore all inquiries from you, and claim compensation for any damages incurred.
3.1 All product descriptions, photos, parameters displayed on Website are for reference only. We reserve rights to modify product specification, appearance, function for product iteration without prior notice. Final technical data shall follow official specification sheet and confirmed PI.
3.2 Prices shown on website are for reference only. Binding official price is given in our written quotation or PI. Unless otherwise agreed in writing, prices are quoted on EXW basis under Incoterms 2020.
3.3 Quoted prices do not cover international freight, insurance, import customs duty, VAT or destination-country tax, unless explicitly written inside quotation or PI.
4.1 Submitting an inquiry via website form does not create binding purchase contract.
4.2 After receiving your inquiry, our sales representative will send formal quotation. Order confirmation is effective only after Buyer signs / stamps and returns our Proforma Invoice (PI).
4.3 For OEM / ODM custom projects: MOQ, tooling cost, sample cost, production lead-time will be clearly stated in quotation. Any drawing, artwork, specification provided by Buyer shall not infringe third-party intellectual property rights; Buyer shall bear full responsibility for any such infringement.
4.4 We reserve reasonable rights to reject any incoming order.
5.1 Payment terms shall strictly follow agreement written on confirmed PI. Accepted payment methods mainly include Telegraphic Transfer (T/T), L/C at sight.
5.2 For new customers: normally 30% deposit upon PI confirmation to start production; the balance 70% shall be fully settled before shipment, unless alternative terms are approved in writing by our management team.
5.3 All payments must be transferred to our official corporate bank account stated on PI. We take no responsibility for financial loss caused by payment made to any third-party account.
5.4 In case of overdue payment, we may suspend production, hold shipment, and charge overdue interest permitted under applicable law.
6.1 Estimated production lead-time is written in quotation / PI. Lead-time starts counting from deposit receipt plus full confirmation of all custom requirements (logo artwork, drawings etc.). Estimated lead-time may be extended due to force-majeure events, raw-material shortage or delayed feedback from Buyer.
6.2 Under EXW trade term: risk of loss or damage to goods transfers to Buyer once goods are ready and handed over to Buyer’s nominated forwarder at our factory warehouse.
6.3 Buyer is responsible for arranging freight, insurance, export & import customs clearance. If we arrange shipment as convenience service for Buyer, we act only as agent; shipping risk remains on Buyer’s side.
7.1 Buyer shall inspect goods within 5 working days after goods arrival. Claim for shortage or visible damage must be submitted in writing with photo / video supporting evidence within this time window.
7.2 Standard product warranty period is 12 months from shipment date, covering only manufacturing defects. This warranty does NOT cover damage caused by improper installation, misuse, physical crash, water ingress, unauthorized disassembly or modification, and normal wear-and-tear.
7.3 For valid warranty case, we will choose remedy mode among repair, replacement spare-parts or credit note at our sole discretion. We do NOT accept unconditional full-product return for B2B wholesale orders without our prior written authorization.
7.4 Consumer cooling-off / unconditional return rights do NOT apply for B2B commercial purchase transactions.
8.1 All content published on Website including text, product pictures, logos, firmware, technical documents belong to Shenzhen Tianqiao Science and Technology Co., Ltd. (Brand TEEJOIN). No party may copy, reproduce, distribute such content for commercial purpose without written permission.
8.2 Buyer retains intellectual property right of its own custom artwork provided for OEM order. TEEJOIN shall not deploy Buyer’s proprietary design for third-party projects.
8.3 Buyer shall not remove or alter TEEJOIN original trademark / marking printed on goods without written permission.
9.1 To maximum extent permitted by applicable law, TEEJOIN shall not be liable for indirect loss, consequential loss, lost profit, loss of business opportunity arising out of website use or goods supply.
9.2 Our total aggregate liability under any circumstance shall not exceed total invoice value of related goods.
9.3 Website information is provided “as-is”. We do not guarantee website will run uninterrupted and error-free 100% of time.
Neither party shall be liable for failure or delay to perform contractual obligations caused by events beyond reasonable control, including natural disaster, pandemic, government regulatory restriction, port congestion, raw-material shortage. Affected party shall notify counterpart promptly after such event occurs.
11.1 These Terms and all sales transactions shall be governed by laws of People’s Republic of China, excluding conflict-of-law rules.
11.2 Any dispute arising from these Terms or purchase contract shall first be settled via friendly negotiation. If negotiation fails, dispute shall be submitted to Shenzhen International Arbitration Commission for arbitration in accordance with its effective arbitration rules. Arbitration award shall be final and binding for both parties.
